After registering and logging in to "BocaLive", you can purchase and use the Service as needed. In order to use the Service, you should read and comply with the "BocaLive" "Paid Service Agreement" (hereinafter referred to as the "Agreement"), the "User Agreement", the "Privacy Policy" and the product page instructions and other agreements and rules (hereinafter collectively referred to as the "Service Agreement and Rules"). (hereinafter collectively referred to as the "Service Agreement and Rules"). Before you apply for the opening of the Service and enter into the purchase process, please make sure that you read and fully understand the Service Agreements and Rules, in particular the terms of exemption or limitation of liability, the application of law and dispute resolution provisions, and the separate agreements and/or rules for the purchase or use of a particular service.
If you do not agree with this Agreement or any of its terms, please stop opening the Service immediately. When you read and agree to this Agreement, click "Agree" or "Next" or "Payment Confirmation" button, complete all the opening, payment procedures, or By using the Service, you indicate that you have fully read, understood and accepted the entire contents of this Agreement and have completed the signing of this Agreement. In other words, you and the Service Provider have reached an agreement on the purchase and provision of the Service, and this Agreement will have legal effect between you and us and become a binding legal document for both parties.
I. Definitions and scope of application
1. This Agreement is an agreement between you and us regarding your purchase and use of the Paid Service and/or the Membership Service.
2. The effective part of this Agreement also includes the relevant agreements, rules, product page descriptions and tips that we have published and may subsequently publish on an ongoing basis in relation to the Service. Once the aforementioned contents are officially published and sent to you in an appropriate way (service purchase page, website announcement, system notification, etc.), they will become an inseparable part of this Agreement.
3. BocaLive paid service rights and interests ("paid rights and interests"): refers to the rights and interests enjoyed by the user after completing the purchase of services based on this Agreement, and the specific rights and interests will be displayed and explained on the service purchase page. You understand and agree that we have the right to change, adjust, cancel, add all or part of the paid services according to the market situation, and will be adjusted from time to time according to the company's business development and arrangements, please keep your attention and take the content of the page display, detailed instructions and tips as the basis for your actual purchase of services.
II. Notes on paid services
1. You need to register for a BocaLive account and log in before opening the paid services. Please note that in order to ensure the normal realization of the rights and functions of the membership you have purchased, you must bind your email address or third-party account. You should ensure that you have the actual ability to sign and fulfill the rights and obligations under this Agreement.
2. You can complete the purchase of paid services through various existing and future new payment channels or methods specified by the Company. You can enjoy the Services after you have confirmed and successfully paid the corresponding service fees and/or completed all other procedural steps according to the instructions on the Services page. If you do not agree with any of the aforementioned processes or contents, you should stop the next step immediately. Once you have completed all the procedures to become a service opener, it is deemed that you have no objection to all the procedures and their contents.
3. The actual rights and benefits included in the services you have subscribed to may be added or reduced according to the company's business development and arrangements, so please refer to the rights and benefits displayed on the page when you actually purchase the services. In order to improve the content of the services, the Company may update and modify the paid benefits, functions and interfaces, including the development of new functions/benefits and the deletion of old functions/benefits. You can continue to use the corresponding rights, functions or services in accordance with the actual situation of the changed services and apply the relevant agreements of this Agreement.
4. The service term of the Service is based on the service term corresponding to the service fee you have chosen and paid. After the expiration of the service term, the Company will stop providing the service to you. You understand and agree that the Company has the right to cancel the service you have paid for if you do not renew the service after the expiration of the service term, and that you shall be responsible for all legal liabilities and losses arising from your violation of the above rules.
You understand and agree that you will use the free or paid services provided by BocaLive in accordance with the requirements and rules for the use of each service announced by the company.
5. When you apply for the opening of paid services, you need to pay the corresponding service fees according to the prompts on the page at that time before completing the opening. Based on the adjustment of rights and interests, market and business development, the Company may adjust the service fees required for the activation of the Service. The adjustment of the service fee of this service will be effective from the date of announcement, the service you have opened before the effective date will not be affected, but if you need to renew the service after the expiration of the service, you need to pay the fee according to the standard of the service that has been effective after the adjustment.
6. When you apply for a paid service, you can also choose the automatic renewal (continuous package) service. This is a service introduced out of your demand for automatic renewal to avoid losses caused by your failure to renew your membership in time due to negligence or other reasons. If you choose to activate the auto-renewal service, you authorize BocaLive to entrust the payment channel to deduct the fees of the next billing cycle on the expiration date of the auto-renewal period and after the expiration date of the membership period, and the actual deduction time shall prevail in the event that the operator or the payment channel decides the deduction period on its own according to the actual situation. The premise of this service is that you have activated the automatic renewal and bound the relevant account, and can successfully deduct the full amount of money from its above account. You may choose to unsubscribe from the auto-renewal service according to your needs. If you choose to unsubscribe, the auto-debiting service will be closed for the next billing cycle, and if you do not renew your subscription, the service will be automatically terminated upon expiration.
7. The Company only provides the relevant network services, other than that, the equipment related to the relevant network services (such as personal computers, cell phones, and other devices related to the access to the Internet or mobile network) and the required fees should be borne by you.
8. From the date of your successful activation of the Service, you can log into the relevant page of your BocaLive account to check the information of your paid rights and benefits of the Service, including but not limited to the records of paid purchases, activated privileges, and service period, etc.
9. As the paid benefits of the Service are virtual content consumption, except as otherwise provided by laws and regulations, they are not refundable or transferable after completion of payment and purchase.
III. Notes on the use of services
1. The services and paid benefits are available only to you through your registered BocaLive account. Without the written consent of the Company, it is prohibited to give, borrow, rent, transfer, sell or otherwise license the account and the services/payment rights under the account to others in any form. If the Company discovers or has reasonable grounds to believe that the user is not the initial registrant of the account, in order to protect the security of the account, the Company has the right to immediately suspend or terminate the provision of services to the registered account under this Agreement. You shall properly use, keep and maintain your account number and password, and you shall bear the losses in the event of leakage, loss, theft, etc., which are not the fault of the Company.
2. The Company shall have the right to cancel/void your paid rights and interests and you shall not request the Company to refund the fees you paid for the Service if you have violated the law/improperly used the Service as follows. You shall be responsible for the behavior and consequences (including losses) of your improper use of the Service, and the Company shall have the right to recover damages from you if you cause losses to the Company:
(1) to theft, use of system loopholes (including but not limited to robot software, spider software, crawler software, screen-scraping software, etc.), through any non-company official or authorized channels, ways, means of obtaining the Service, the malicious use or destruction of the Service-related activities to obtain the payment of the rights and interests of the behavior;
(2) Using the Service for profit or illegal profit, transferring or assigning the Service or the paid rights and interests you enjoy in various forms, or lending the Service or the paid rights and interests to others;
(3) Modify the service period, consumption amount, or transaction status of the Service account through illegal means, or use the purchased Service in an illegal manner or for an illegal purpose;
(4) Taking the initiative to crack, change, counter-operate, destroy or otherwise tamper with any security measure technology used by the Company to protect the paid rights and interests of the Service, or assisting others to carry out the above acts;
(5) Other behaviors that violate laws and regulations, the principle of good faith and credit, service agreements and rules.
3. You know and agree that you shall not use the paid services to produce, publish or disseminate content that violates laws and regulations, jeopardizes national security, and other insults, defamation, obscenity, violence and other prohibited content; you shall not use the paid services to produce, publish or disseminate content that infringes on the legitimate rights and interests of others, such as the right of portrait, the right of honor, the right of intellectual property rights, commercial secrets and other legitimate rights and interests.
4. You confirm and agree that the company has the right to take one or more of the following measures after the discovery of the above misbehavior:
(1) Take technical means to delete, block or disconnect the relevant information;
(2) Take measures including but not limited to suspending or terminating part or all of the Service;
(3) No need to refund any fees to you, unused service fees as liquidated damages to the company, your account within the loss of your own responsibility, resulting in losses, you should also be compensated.
5. You know and agree that, in order to ensure that you fully enjoy the Service and to avoid you from missing the high-quality paid rights, the Company may provide you with information related to the paid rights through one or more ways such as notices, webpage announcements, page reminders, pop-ups, and e-mail contact information that you reserved, etc., and that such notices are deemed to be successfully delivered to you from the time of sending them.
IV. Suspension, termination and change of services
1. Suspension or termination of the Service includes the following circumstances:
(1) You take the initiative to suspend or terminate, including but not limited to the expiration of the paid rights and interests without renewal;
(2) Because of your breach of contract, the company takes the initiative to suspend or terminate the service;
(3) Other services should be suspended or terminated in accordance with laws and regulations.
2. We have the right to change the content of this Agreement, for which the Company will notify you on the corresponding page or in other reasonable ways. If the agreement is changed, but you do not agree with the changed content, you have the right to choose to stop using the paid services. If you continue to use the Paid Services after the effective date of the changed Agreement, you shall be deemed to have agreed to all the contents of the change.
3. You know and confirm that after you have opened the Service, if you cancel the Service, give up the paid rights or terminate the paid rights user qualification on your own initiative in the middle of the Service, or if the Company cancels your account or terminates your paid rights user qualification in accordance with the laws and regulations, the Agreement, or any other service agreements and rules, you shall not request a partial or full refund of the corresponding service fees.
4. After the termination of this Agreement, you shall not be entitled to request the Company to continue to provide any services or fulfill any other obligations. The termination of this Agreement does not affect the rights and obligations between you and the Company based on this Agreement before termination. If the Company suffers from third-party claims or administrative penalties due to you, you shall indemnify the Company for any losses and/or expenses incurred as a result.
5. Due to the rapid development of the Internet, the terms and conditions set forth in this Agreement signed between you and the Company do not completely list and cover all the rights and obligations between you and the Company with respect to the services agreed upon in this Agreement, and the existing agreement does not fully guarantee that it meets the needs of future development. The Company may modify this Agreement from time to time in accordance with changes in national laws and regulations, the actual needs of business changes, and the need to protect the rights and interests of users, and will make announcements in accordance with the procedures and methods stipulated by laws and regulations. If the user does not agree with the changed content, the user has the right to stop using the service on his/her own initiative; if the user continues to use the service after the change takes effect, it is deemed that the user agrees with the change of the content.
V. Intellectual property rights
1. The intellectual property rights of the services and contents (including but not limited to software, technology, programs, web pages, text, pictures, images, audio and video, layout, electronic documents, etc.) provided by the Company under this Agreement shall belong to the Company and/or the Company's affiliates or other legitimate third parties.
2. Without the authorization of the Company and/or the relevant right holders, no one shall use the products/services/materials/contents etc. under the Service for any commercial or non-commercial purpose without authorization from the Company and/or the relevant right holders; no one shall carry out any acts on the products/services/materials/contents etc. under the Service, including (but not limited to) reverse engineering, decompiling, disassembling, etc., which may affect or change the original contents or functions of the products/services/materials/contents etc., and shall not decrypt or try to The Company shall not crack or attempt to crack the security and confidentiality measures of the aforesaid products/services/materials/contents, etc., or pickpocket, store, cache, download, or mirror the resources of the products/services/materials/contents under the Service, or use the products/services/materials/contents under the Service to develop products or services of the same kind, or assist or allow any third party to carry out the aforesaid behaviors, or otherwise cause losses or damages to the Company and/or other right holders. Otherwise, any loss or damage caused to the Company and/or other right holders shall be borne solely by you.
3. Users are not allowed to copy, edit, reproduce, remake, modify, reprint, publish, compile, distribute, cite, or disseminate any information content under the Service for the purpose of obtaining direct or indirect economic benefits, using fee-based or free methods, without the authorization and permission of the Company and/or the relevant right holders.
VI. Limited liability
1. You know and agree that the content uploaded, published or transmitted by you using the Paid Services is your personal behavior, and BocaLive shall not be responsible for the accuracy, authenticity, usability, safety, completeness and legitimacy of such information and content.
2. Your use of paid services to create content for the use of behavior, should be within the scope of this agreement to use legal compliance and independent judgment, due to your use of behavior caused by any of their own damage and damage to third parties, the company does not assume any responsibility.
3. We shall not be liable for any interruption of service or loss of your account or property in your account due to communication line failure, network or computer failure, system or server instability, force majeure, etc. However, the Company will make its best efforts to minimize the impact.
4. Under this Agreement, our compensation to you is limited to the actual receipt of the paid fees paid by you, which is the maximum obligation and total liability of the Company to you.
VII. Use by minors
1. If you are a minor, you should read this Agreement and use the Services under the supervision and guidance of your guardian and with the consent of your guardian.
2. Minor users should understand that if you violate the laws and regulations and the contents of this Agreement, you and your guardian shall bear all the legal responsibilities and consequences in accordance with the provisions of the law.
3. Special Notice for Guardians
(1) If your ward uses paid services, you, as the guardian, shall guide and supervise the registration and use behavior of your ward. If your ward applies for registration of BocaLive account, purchase and use of the services, the Company shall have the right to consider that he/she has obtained your consent.
(2) Your ward may use paid functions when using BocaLive and the Service. You, as a guardian, should keep your payment device, payment account and payment password, etc. in order to prevent your ward from using the Payment Function through your BocaLive account without your consent. In case of chargebacks caused by the use of the payment function by the ward, the guardian shall provide relevant proof.
VIII. Other
1. If any provision of this Agreement is deemed repealed, invalid or unenforceable, it shall not affect the validity and enforceability of the remaining provisions of this Agreement.
2. This Agreement is regarded as a supplementary agreement to the User Agreement and is an integral part thereof, constituting a unified whole. The contents of this Agreement also include the relevant agreements, various announcements, questions and answers, page descriptions and standardized processes that may be released by the platform about the Service, etc. Once the above contents are officially released, they will be an inseparable part of this Agreement and will have the same legal effect as this Agreement. If there is any conflict of agreement between this Agreement and other service agreements and rules on the same matter, this Agreement shall prevail; other service agreements and rules shall prevail for matters not covered in this Agreement, and if there is no agreement in other service agreements and rules, you and the Company shall reach an agreement separately.
